ARTICLE V

COUNCIL OF THE FOUNDATION

/1/ The Council of the Foundation is its supreme body. The members of the Council should not exceed 51.

/2/ The Council is empowered to fill in vacancies and alter its strength, composition and Constitutive Act.

/3/ Member of the Council may be any person, irrespective of his or her citizenship, who adopts and works for the attainment of the goals of the Foundation.

/4/ The Council of the Foundation will be convened by a written invitation for regular meetings at least once a year and whenever necessary.

/5/ The President of the Foundation is obliged to convene the Council at the written request of one fourth of the Council members or of the Chairman of the Auditing Council. Should he refuse to convene the Council within a suitable period of time, the Council may be convened by the Chairman of the Auditing Council on an Auditing Council decision or by a person authorized by the Council members who have initiated the request.

/6/ The meeting of the Council will be considered legitimate if at least one half of its members are present. If the required number of members are not present, the meeting is postponed by one hour at the same place with the same agenda and will be considered legitimate regardless of the number of the Council members present. Each member has the right of one vote.

/7/ The Council makes decisions by a majority of votes of members present.

/8/ A member of the Council will drop out of the Council if:

    1. he/she is willing to do so;

    2. he/she has ceased its contacts with the Foundation and has not been present at three consecutive regular meetings of the Council.

ARTICLE VI

COMPETENCE OF THE COUNCIL

/1/ The Council of the Foundation:

    1. elects for a term of three years; the President of the Foundation, who is also the President of the Council, his deputies, members of the Bureau and the Auditing Council;
    2. adopts a program for the activities of the Foundation;
    3. approves the report of the Bureau on the performance of the Foundation, and makes decisions on it.

ARTICLE VII

BUREAU OF THE FOUNDATION

/1/ The Bureau is the executive body of the Foundation. The Council of the Foundation determines the numerical strength and the mandate of the Bureau. The President, his deputies and the Secretary General are included in it by right.

/2/ A member of the Bureau need not necessarily be a member of the Foundation Council

/3/ The Bureau of the Foundation:

    1. ensures the implementation of the Foundation Council’ decisions and the attainment of the goals of the Foundation;

    2. determines the seat of the organization’s management, sets up and closes down branches of the Foundation, determines their seat and address;

    3. determines the regulations for non-profit distribution of the Foundation’s property, the type of support rendered and the ways persons to be supported are selected;

    4. adopts the annual program and the budget of the Foundation and publishes an annual report on the Foundation performance;

    5. approves the President’s report and makes decisions to eliminate weaknesses and shortcomings;

    6. elects and relieves of his duties the Secretary General of the Foundation, as well as the managers of the branches;

    7. acts as the owner of the assets of the marketing companies set up with the capital of the Foundation.

/4/ The Bureau of the Foundation meets at least once every six months. The President is to convene the meeting. He is obliged to convene the Bureau at the written request of one third of its members, of the Secretary General of the Foundation. If the president fails to do so the Bureau may be convened by the latter or by a person authorized by one third of the Bureau members.

/5/ The meeting of the Bureau is considered legitimate if attended by more than one half of its members. A member is considered present if there is a two-way telephone or other type of communication, which guarantees that his identity is established and allows him/her to take part in the discussion, decision taking and voting. The person chairing the meeting should list this in the minutes.

/6/ The Bureau makes decisions by a majority of vote of the members present by open ballot with each member having one vote.

/7/ Decisions on issues that cannot be postponed may be taken by vote in absentia by signing a special protocol by all the members of the Bureau.

/8/ The Bureau may constitute advisory boards to assist in the implementation of specific programs and may determine their composition and objectives.
